Vinyltech

Vinyltech, situated in Phoenix, Arizona, is one of the few American-owned PVC pipe manufacturers. It manufactures and sells AWWA C900 water, ASTM D3034, and F679 sewer main PVC pipe through waterworks distributors for use in municipal water, wastewater, and water reclamation systems.

Goodrich entered into an arrangement with Vinyltech on October 1, 1988 (the "Agreement") that included the option for Goodrich to transport 96 railcars of resin to Vinyltech in 1989. The agreement also stated that if Vinyltech got an alternative offer of resin from another company of equivalent type and quality for a lower price than Goodrich was charging at the time, the party would have a take or pay obligation.

During the term of the Agreement, Goodrich reportedly began supplying Vinyltech with resin that was purportedly of poor quality and featured a number of faults that caused inefficiencies in production.
